These Terms govern the relationship between BLAKE COLLECTIVE LLC and clients engaging our services, as well as visitors to our website.
Scope of Services
BLAKE COLLECTIVE LLC provides software engineering services including custom software development, web and mobile application development, system integration, and ongoing maintenance and support. The specific scope of any engagement is defined in a written agreement between the client and the company.
Client Responsibilities
Clients are responsible for providing timely access to information, materials, environments, and decision-makers required for the successful delivery of services. Delays attributable to the client may impact agreed timelines and deliverables.
Payment Terms
Fees, payment schedules, and invoicing terms are defined in the written agreement governing each engagement. Invoices are payable within the period stated in that agreement. Late payment may result in suspension of services in accordance with the agreement.
Intellectual Property Rights
Unless otherwise specified in the engagement agreement, deliverables produced specifically for a client become the client's property upon full payment. BLAKE COLLECTIVE LLC retains all rights to pre-existing methodologies, frameworks, libraries, and tools used in the delivery of services.
Limitation of Liability
To the maximum extent permitted by law, the aggregate liability of BLAKE COLLECTIVE LLC arising out of or related to any engagement shall not exceed the fees paid by the client for the services giving rise to the claim. The company shall not be liable for indirect, incidental, consequential, or punitive damages.
Governing Law
These Terms are governed by the laws of the United States of America and the Commonwealth of Pennsylvania, without regard to conflict of laws principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Philadelphia, Pennsylvania.
